Welcome to VirtualStudios. These Terms of Service ("Terms") govern your access to and use of the VirtualStudios website, application, AI image-generation tools, subscriptions, and related services (collectively, the "Services").

By creating an account, purchasing a subscription, uploading content, generating images, or otherwise using the Services, you agree to these Terms. If you do not agree, you may not use VirtualStudios.

1. About VirtualStudios

VirtualStudios provides AI-powered tools designed to help clothing brands, businesses, creators, and other users generate digital modeling and promotional images featuring clothing, apparel, accessories, and related products.

VirtualStudios may update, modify, add, or remove features from the Services at any time.

2. Eligibility

You must be at least 18 years old, or the legal age of majority in your jurisdiction, to create an account or purchase paid Services.

By using VirtualStudios, you represent that:

• You have the legal capacity to agree to these Terms.
• The information you provide is accurate.
• You are authorized to use any payment method submitted through the Services.
• Your use of VirtualStudios does not violate applicable laws or regulations.

If you use VirtualStudios on behalf of a company or organization, you represent that you have authority to bind that organization to these Terms.

3. Accounts

Certain features may require you to create an account.

You are responsible for maintaining the confidentiality of your login information and for activity occurring through your account.

You agree to notify VirtualStudios promptly if you believe your account has been accessed without authorization.

You may not sell, transfer, rent, or share your account in a way that violates these Terms or your subscription plan.

4. AI-Generated Content

VirtualStudios uses artificial intelligence and related technologies to generate or modify images and other content.

AI-generated results may not always be accurate, unique, realistic, complete, or suitable for your intended purpose.

VirtualStudios does not guarantee that generated content will:

• Perfectly reproduce an uploaded product.
• Accurately represent fabric, colors, sizing, fit, texture, dimensions, or other product characteristics.
• Be completely free from similarities to content generated for other users.
• Be suitable for any specific advertising, commercial, legal, or regulatory purpose.

You are responsible for reviewing generated content before publishing, advertising, distributing, or relying on it.

5. User Content

"User Content" includes images, logos, clothing designs, photographs, trademarks, text, graphics, product images, and other materials that you upload or provide to VirtualStudios.

You retain your ownership rights in your User Content.

By uploading User Content, you grant VirtualStudios a limited, worldwide, non-exclusive license to host, process, reproduce, modify, and otherwise use that content solely as reasonably necessary to operate, maintain, improve, and provide the Services.

You represent and warrant that you own or have sufficient rights and permissions to upload and use all User Content you provide.

You may not upload content that infringes another person's copyright, trademark, privacy rights, publicity rights, or other intellectual property rights.

6. Generated Content and Commercial Use

Subject to these Terms and any applicable subscription restrictions, users may generally use content generated through VirtualStudios for lawful personal or commercial purposes, including marketing, social media, ecommerce listings, advertisements, and brand materials.

However, VirtualStudios cannot guarantee that generated content is eligible for copyright, trademark, or other intellectual property protection.

You are responsible for determining whether your intended use of generated content is legally permitted.

VirtualStudios does not provide any guarantee that generated content will not resemble another person, brand, design, photograph, or other existing material.

7. Images of People and Likenesses

You may not use VirtualStudios to intentionally create or distribute content that unlawfully impersonates, exploits, defames, harasses, or violates the privacy or publicity rights of another person.

You may not upload photographs of another person unless you have all permissions legally required for the intended use.

You may not use the Services to create misleading content that falsely suggests a real person endorsed, modeled, purchased, or promoted a product without permission.

8. Prohibited Uses

You may not use VirtualStudios to create, upload, generate, distribute, or promote content that:

• Violates applicable law.
• Infringes intellectual property rights.
• Contains unlawful sexual or exploitative content involving minors.
• Facilitates fraud, deception, scams, or identity theft.
• Promotes illegal products or activities.
• Contains malicious software or attempts to interfere with the Services.
• Attempts to reverse engineer, scrape, overload, hack, or bypass security measures.
• Uses automated systems to abuse generation limits or subscription restrictions.
• Falsely represents AI-generated models as real individuals where doing so would be deceptive or unlawful.

VirtualStudios may remove content, restrict generations, suspend accounts, or terminate access where we reasonably believe these Terms have been violated.

9. Subscriptions and Payments

VirtualStudios may offer free and paid subscription plans.

Prices and plan features may change from time to time. Any applicable pricing will be shown before purchase.

By purchasing a recurring subscription, you authorize VirtualStudios and its payment processor to automatically charge your payment method at the beginning of each billing period until you cancel.

10. Cancellation

You may cancel your subscription through your account settings or through another cancellation method provided by VirtualStudios.

Cancellation will normally take effect at the end of the current paid billing period unless otherwise stated.

Deleting your account does not necessarily cancel an active subscription. You are responsible for canceling recurring billing before deleting your account.

11. Refunds

Except where required by law or expressly stated otherwise, payments are generally non-refundable after subscription benefits, credits, image generations, or other digital services have been provided.

VirtualStudios may issue refunds, credits, or other adjustments at its discretion in cases involving technical failures, duplicate charges, billing errors, or similar circumstances.

12. Generation Credits and Usage Limits

Some plans may include generation credits or monthly usage limits.

Unused credits may expire at the end of a billing period unless your plan specifically states otherwise.

VirtualStudios may implement reasonable limits to prevent abuse, automated misuse, excessive system load, or activity that interferes with other users.

13. Third-Party Services

VirtualStudios may rely on third-party providers for services including:

• Artificial intelligence processing.
• Payment processing.
• Hosting.
• Cloud storage.
• Authentication.
• Analytics.
• Email communications.

Your use of certain features may therefore also be subject to third-party terms or policies.

VirtualStudios is not responsible for outages, failures, data loss, or other problems caused by third-party providers beyond our reasonable control.

14. Intellectual Property

VirtualStudios and its licensors own all rights in the VirtualStudios platform, including its software, interface, design, branding, logos, code, databases, features, and other proprietary materials, excluding User Content.

These Terms do not grant you ownership of the VirtualStudios platform or brand.

You may not copy, reproduce, sell, license, modify, reverse engineer, or commercially exploit the VirtualStudios platform except as expressly permitted.

15. Copyright and Intellectual Property Complaints

If you believe content available through VirtualStudios infringes your copyright or other intellectual property rights, you may contact us with sufficient information to identify the material and explain your claim.

VirtualStudios may remove allegedly infringing content and may restrict or terminate accounts of repeat infringers where appropriate.

16. Service Availability

We aim to provide reliable access to VirtualStudios, but we do not guarantee uninterrupted or error-free operation.

The Services may occasionally be unavailable because of maintenance, updates, third-party outages, technical problems, security concerns, or circumstances beyond our control.

We may modify, suspend, or discontinue any portion of the Services at any time.

17. Disclaimer of Warranties

To the fullest extent permitted by law, VirtualStudios is provided on an "as is" and "as available" basis.

We make no guarantee regarding the accuracy, quality, merchantability, fitness for a particular purpose, availability, legality, uniqueness, or commercial success of any generated content.

You use the Services and generated content at your own discretion and risk.

18. Limitation of Liability

To the maximum extent permitted by applicable law, VirtualStudios and its owners, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of the Services.

This includes lost profits, lost revenue, lost data, loss of business opportunities, reputational harm, or claims arising from the publication or commercial use of AI-generated content.

To the maximum extent permitted by law, VirtualStudios' total liability for claims relating to the Services will not exceed the amount you paid to VirtualStudios during the twelve months immediately preceding the event giving rise to the claim.

19. Indemnification

You agree to defend, indemnify, and hold harmless VirtualStudios and its owners, employees, affiliates, contractors, and service providers from claims, damages, losses, liabilities, and expenses arising from:

• Your User Content.
• Your generated content.
• Your use or misuse of the Services.
• Your violation of these Terms.
• Your violation of another person's intellectual property, privacy, publicity, or other rights.
• Your advertising, marketing, sale, or representation of products using content generated through VirtualStudios.

20. Account Suspension and Termination

VirtualStudios may suspend or terminate your account if you violate these Terms, misuse the Services, engage in fraudulent activity, fail to pay applicable charges, create security risks, or engage in conduct that may harm VirtualStudios or its users.

You may stop using the Services at any time.

Sections of these Terms that by their nature should survive termination will remain effective after your account is closed.

21. Privacy

Your use of VirtualStudios is also subject to our Privacy Policy.

The Privacy Policy explains how information may be collected, processed, stored, and shared when you use the Services.

22. Changes to These Terms

VirtualStudios may update these Terms from time to time.

When material changes are made, we may provide notice through the website, application, email, account dashboard, or another reasonable method.

Your continued use of VirtualStudios after updated Terms become effective means you agree to the revised Terms.
